Please read these terms carefully as they govern your use of our therapy services, including in-home, virtual, and clinic-based care, as well as our website(s), applications, and mobile platforms (the "Services"). Your access and use of these Services constitute your agreement to the terms and conditions outlined below.

This Notice applies to the following entities (collectively referred to as “Prava Therapy,” “we,” “us,” or “our”): Reinvent Health Inc., Prava PC, C.R.S. Physical Therapy Inc., Bellah Therapies LLC.

These Terms of Use (“Terms”) constitute a binding contract between you and Prava Therapy. By using the Services, you acknowledge that you have read, understood, and agree to comply with these Terms. If you do not agree to these Terms, you must discontinue use of the Services.

1. Changes to the Terms

We are constantly improving our Services, so these Terms may change as well. Any changes will be made effective by posting updated Terms on our website or notifying you through other means. Continued use of the Services after the changes indicates your acceptance of the updated Terms.

2. Privacy Policy

We take your privacy seriously. Please refer to our Notice of Privacy Practices to understand how we collect, use, and protect your personal information, including your protected health information (PHI). By using our Services, you agree to our privacy practices.

3. Services Provided

Prava Therapy offers therapy services, including:

• In-home care: Therapy provided at your home or designated location.

• Virtual (telehealth) care: Therapy services delivered through secure, HIPAA-compliant video conferencing platforms.

• On-site services: Therapy provided at physical locations.

You are responsible for ensuring a safe, accessible environment for in-home services and a stable internet connection for virtual care.

4. Eligibility to Use the Services

To use the Services, you must:

• Be of legal age to form a binding contract.

• Agree to provide accurate, current, and complete registration information.

• Not share your account credentials with anyone else.

• Not use the Services for any unlawful purpose or in violation of any local, state, or federal laws.

5. Consent to Treatment

By scheduling and participating in therapy sessions, you consent to the examination and therapy procedures recommended by your licensed therapist. If receiving therapy without a physician’s referral, you agree to comply with any specific limitations or additional requirements imposed by your state’s regulations.

6. Financial Responsibility and Payments

You agree to provide accurate and updated insurance and billing information. You are financially responsible for:

• Any co-payments, deductibles, or uncovered services.

• Fees for services rendered that are not covered by your insurance provider.

Failure to provide accurate billing information may result in your account being sent to collections.

7. Cancellation, No Show, and Credit/Refund Policy

Prava Therapy requires you to cancel your appointment no later than 24 hours prior to your scheduled appointment time. If you are unable to give a 24-hour notice or if you no-show for your appointment, there will be a cancellation fee of $90.00 for each occurrence.

If your therapist does not show for your scheduled session, we will work with you to reschedule an appointment with another therapist. If your therapist cancels your session, it does not exempt you from any liabilities related to late cancellation fees you might have accrued.

8. Telehealth Services

Telehealth services are subject to the same standards of care as in-person treatment. However, the format may limit certain aspects of the physical examination, and you acknowledge that telehealth has its own inherent risks, including technical difficulties and confidentiality concerns.

9. Intellectual Property

All content on our website, applications, and Services, including text, images, logos, and software, is owned by or licensed to Prava Therapy. You may not copy, modify, or distribute any content without our express permission.

10. Limitation of Liability

Prava Therapy shall not be liable for any damages arising out of or in connection with the use or inability to use the Services. This includes, but is not limited to, direct, indirect, incidental, and consequential damages, even if we have been advised of the possibility of such damages.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the state in which Prava Therapy operates. Any disputes arising from these Terms or your use of the Services shall be resolved through arbitration or in a court of competent jurisdiction located in Illinois.

Warranty Disclaimer

Neither Prava Therapy nor its licensors or suppliers makes any representations or warranties concerning any content contained in or accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services. We (and our licensors and suppliers) make no representations or warranties regarding suggestions or recommendations of services or products offered or purchased through the Services. The Services and Content are provided by Prava Therapy (and its licensors and suppliers) on an “as-is” basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that use of the services will be uninterrupted or error-free. Some states do not allow limitations on how long an implied warranty lasts, so the above limitations may not apply to you.

Indemnity

To the fullest extent allowed by applicable law, You agree to indemnify and hold Prava Therapy, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

It is possible that your participation in the Services could result in injury to you. You acknowledge and fully understand that you are engaging in activities that may involve the risk of economic and other damages which might result from your own actions or omissions, from the actions or omissions of other parties, or from any of the activities you are asked to complete during a visit. You further agree that there may be other risks not known or not reasonably foreseeable at this time. Nonetheless, it is your desire to participate in the Services. Accordingly, you release, waive, discharge and covenant not to sue Prava Therapy, any of its employees, representatives, contractors, officers, directors, shareholders, affiliates, administrators, agents, owners, or lessors of all equipment, all of whom are hereafter referred to as “Releasees”, from demands, losses or damages on account of injuries, including death or damage to property, caused or alleged to be caused in whole or in part by the negligence of the Releasees or otherwise.

Choice of Law and Arbitration

These Terms are governed by and will be construed under the laws of the State of Illinois, without regard to the conflicts of laws provisions thereof. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in Cook County, Illinois, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of these Terms, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in, respectively, Cook County, Illinois. Any arbitration under these Terms will take place on an individual basis: class arbitrations and class actions are not permitted. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND PRAVA THERAPY ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
